3. Client Responsibilities
Clients agree to:
- Provide accurate and complete business requirements
- Provide timely access to systems such as Zoho, Salesforce, Shopify, telephony or other platforms
- Ensure required licenses are purchased for software platforms
- Review deliverables and provide timely feedback
- Maintain backups of critical business data
- Assign a point of contact for project coordination
- Ensure users follow agreed processes
Project timelines may be impacted if required information, access, or approvals are delayed.
4. Commercial Terms
- Pricing is based on project scope, complexity, and estimated effort.
- Any change in scope may result in revised cost and timelines.
- Payment milestones will be defined in the quotation or agreement
- Work may be paused if payments are delayed beyond agreed timelines
- Applicable taxes including GST will be charged as per government regulations
- Any additional work outside agreed scope will require approval
5. Intellectual Property
- Client-specific configurations and data remain property of the client
- Client Core Innovation Pvt. Ltd. retains ownership of reusable frameworks, accelerators, scripts, estimation templates, and methodologies
- General technical knowledge gained during project execution may be reused without sharing client confidential information
- Custom deliverables may be reused internally unless restricted by written agreement
6. Confidentiality
Both parties agree to maintain confidentiality of sensitive business, financial, and technical information shared during the project.
We do not disclose client information to third parties without consent unless required by law.
7. Third-Party Services
Our services may integrate with third-party platforms including but not limited to:
- Zoho
- Salesforce
- Shopify
- telephony
- Email providers
- Payment gateways
- Hosting providers
Client Core Innovation Pvt. Ltd. is not responsible for downtime, pricing changes, policy updates, or service disruptions caused by third-party providers.
8. Limitation of Liability
We strive to deliver high-quality professional services; however:
- We are not liable for indirect or consequential business losses
- We are not responsible for incorrect data provided by the client
- Clients are responsible for testing and verifying outputs before production use
- Liability is limited to the amount paid for the relevant service
9. Support and Maintenance
Support services may be provided based on agreed scope such as:
- Hourly support
- Monthly support plans
- Annual Maintenance Contracts (AMC)
Support response timelines depend on the agreed SLA terms.
10. Termination
Either party may terminate services with written notice.
Completed work until termination date will be billed accordingly.
Access to project resources may be revoked if outstanding payments remain unpaid.
11. Data Protection
We take reasonable measures to protect client data.
Clients are responsible for:
- Managing user access permissions
- Maintaining password confidentiality
- Performing periodic data backups
- Ensuring correct usage of CRM systems
12. Governing Law
These Terms shall be governed by the laws of India.
Any disputes shall be subject to jurisdiction.

We may update these Terms from time to time.
